1. Acceptance of Terms

These Terms of Service (Terms) govern your access to and use of the website www.cloudfoil.hair (the Website) and the computer systems design, software development, cloud architecture, cybersecurity, network engineering, and IT consulting services (collectively, the Services) provided by Heze Cloud Foil Network Technology Co., Ltd., a company registered in Mudan District, Heze, Shandong, China (referred to as Cloud Foil, we, us, or our).

Cloud Foil is registered at B3 Area Building 12 No.1090, Yide City, Kunming South Road, West City Street, Mudan District, Heze, Shandong 274000, China.

BY ACCESSING OR USING THE WEBSITE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE WEBSITE OR SERVICES.

2. Description of Services

Cloud Foil provides professional computer systems design and related services, including but not limited to:

  • Computer systems architecture design and consulting.
  • Custom software development and application engineering.
  • Cloud infrastructure planning, deployment, and management.
  • Cybersecurity assessment, hardening, and monitoring.
  • Enterprise network design and engineering.
  • Information technology strategy and consulting.

The specific scope, deliverables, timeline, and fees for any project shall be defined in a separate written agreement, statement of work, or service contract executed by both parties. In the event of any conflict between these Terms and a separately executed agreement, the separately executed agreement shall control.

3. Eligibility

By using the Website or Services, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction.
  • You have the legal capacity to enter into a binding contract.
  • If you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms.
  • You will comply with all applicable laws and regulations in connection with your use of the Services.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Website, its design, source code, graphics, logos, trademarks, and all content displayed on the Website are the exclusive property of Cloud Foil or its licensors and are protected by applicable intellectual property laws. The Cloud Foil name, logo, and all related names, logos, product and service names are trademarks of Cloud Foil. You may not copy, reproduce, distribute, or create derivative works from any Website content without our express written permission.

4.2 Client Deliverables

Unless otherwise specified in a separate written agreement, upon full payment for Services, Cloud Foil assigns to the client all rights, title, and interest in the custom deliverables created specifically for that client under the applicable statement of work. Cloud Foil retains ownership of all pre-existing materials, tools, frameworks, libraries, methodologies, and know-how used in the delivery of Services, which may be licensed to the client for use with the deliverables.

4.3 Client Content

You retain all ownership rights in any content, data, or materials you provide to us in connection with the Services (Client Content). You grant Cloud Foil a limited, non-exclusive license to use Client Content solely as necessary to provide the Services.

5. Payment Terms

Fees for Services are specified in the applicable statement of work or service agreement. Unless otherwise stated in writing:

  • All fees are quoted and payable in Chinese Yuan (RMB) unless another currency is specified.
  • Invoices are payable within 30 calendar days of the invoice date.
  • Late payments accrue interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
  • All fees are exclusive of applicable taxes, which shall be your responsibility.
  • We reserve the right to suspend Services if payment is more than 45 days past due.

6. Confidentiality

Each party (the Receiving Party) agrees to protect the confidential information of the other party (the Disclosing Party) using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information means any non-public information disclosed by the Disclosing Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully in the Receiving Partys possession prior to disclosure; (c) is rightfully obtained by the Receiving Party from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Partys Confidential Information.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOUD FOIL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR SERVICES.

CLOUD FOILS TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CLOUD FOIL FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

THE LIMITATIONS IN THIS SECTION SHALL APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CLOUD FOIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUD FOIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Cloud Foil does not warrant that: (a) the Website or Services will function uninterrupted, secure, or error-free; (b) any errors or defects will be corrected; or (c) the results obtained from use of the Services will be accurate or reliable.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cloud Foil and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or in connection with: (a) your use of the Website or Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your violation of applicable law.

10. Termination

We may terminate or suspend your access to the Website or Services immediately, without prior notice or liability, if you breach any provision of these Terms. Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, confidentiality, limitation of liability, disclaimer of warranties, indemnification, and governing law.

Upon termination: (a) your right to access and use the Website and Services shall immediately cease; (b) you shall promptly pay all outstanding fees due; and (c) each party shall return or destroy the other partys Confidential Information as directed.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration in Heze, Shandong, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in Chinese or English as mutually agreed. The arbitral award shall be final and binding on both parties.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, epidemics or pandemics, labor disputes, telecommunications failures, or Internet service disruptions. The affected party shall notify the other party promptly and use reasonable efforts to resume performance.

13. Third-Party Services and Links

The Website may contain links to third-party websites or services that are not owned or controlled by Cloud Foil. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Cloud Foil shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party content, website, or service.

14. Website Use Restrictions

When using the Website, you agree not to:

  • Use the Website in any way that violates applicable laws or regulations.
  • Attempt to interfere with the proper functioning of the Website or its security features.
  • Use any automated means (robots, spiders, scrapers) to access or collect data from the Website without our express written permission.
  • Transmit any viruses, malware, or other harmful code through the Website.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Website to send unsolicited commercial communications (spam).

15. Export Compliance

The Services and any related software or technology may be subject to export control laws and regulations of China, the United States, and other jurisdictions. You agree to comply with all applicable export laws and regulations and shall not, directly or indirectly, export, re-export, or transfer any Services or related technology to any country, person, or entity subject to applicable export restrictions or embargoes.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Website or by email at least 30 days before the changes take effect. Your continued use of the Website or Services after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

For clients with an active service agreement, the Terms in effect at the time of agreement execution shall govern that engagement unless otherwise agreed in writing.

17. General Provisions

17.1 Entire Agreement. These Terms, together with any applicable statement of work or service agreement, constitute the entire agreement between you and Cloud Foil regarding the Website and Services and supersede all prior agreements and understandings.

17.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

17.4 Assignment. You may not assign these Terms or any rights or obligations hereunder without our prior written consent. Cloud Foil may assign these Terms without restriction.

17.5 Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Cloud Foil.

17.6 Notices. Notices to Cloud Foil shall be sent to serve@cloudfoil.hair or to our registered address. Notices to you may be sent to the email address you provide.
